1. Acceptance of Terms

By accessing or using the PactBadger service ("Service"), operated by SageFoundry LLC, doing business as PactBadger ("Company", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

PactBadger is an AI-powered contract tracking platform designed for small and medium-sized businesses. The Service allows you to:

• Upload contract documents (PDF, DOCX, and TXT formats)
• Use AI-powered extraction to identify key dates, values, parties, and clauses
• Track contract statuses, expirations, and renewal deadlines
• Receive automated alerts and notifications about upcoming deadlines
• Manage contracts and collaborate with team members within your organization

3. Accounts and Registration

To use the Service, you must create an account by providing a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. You must provide accurate and complete information during registration and keep your account information up to date.

4. Subscription Plans and Billing

The Service is offered under various subscription plans, including a free tier with limited features. Paid plans are billed on a recurring basis (monthly or annually) at the rates displayed on our pricing page at the time of purchase.

• Free Plan: Subject to usage limits on the number of contracts and AI extractions per billing period.
• Paid Plans: Provide higher limits and additional features. Some paid tiers may include extraction overage pricing, where extractions above the included quota are billed per extraction and added to your next invoice. Payment is processed through Stripe. You authorize us to charge your payment method on a recurring basis.
• Upgrades and Downgrades: Plan changes take effect at the start of the next billing cycle unless otherwise stated.
• Cancellation: You may cancel your subscription at any time. Access to paid features continues until the end of the current billing period.
• Refunds: Payments are non-refundable except where required by applicable law.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increase to existing subscribers.

5. Your Content

You retain all ownership rights in the documents and data you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you.

You represent and warrant that:

• You have the right to upload and share all content you provide to the Service
• Your Content does not violate any applicable law or the rights of any third party
• You are authorized to share the contract documents you upload, including any confidential information contained therein

6. AI-Powered Features

The Service uses artificial intelligence to extract information from uploaded documents. You acknowledge and agree that:

• AI output is not legal advice. Extracted data is provided for informational and organizational purposes only. It should not be relied upon as a substitute for professional legal review.
• Accuracy is not guaranteed. While we strive for high accuracy, AI extraction may contain errors, omissions, or misinterpretations. You are responsible for reviewing and verifying all extracted information.
• Document processing. Uploaded documents are sent to third-party AI providers (currently Anthropic) for processing. We select providers with strong data handling practices, but you should not upload documents if you are prohibited from sharing them with third-party processors.
• No training on your data. We do not use Your Content to train or improve AI models. Documents are processed solely to return results to you.

7. Acceptable Use

You agree not to use the Service to:

• Upload malicious files, malware, or content designed to disrupt the Service
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Service for any illegal purpose or in violation of any applicable law
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use automated scripts or bots to access the Service beyond normal API usage
• Resell, sublicense, or redistribute the Service without our written consent
• Circumvent or attempt to circumvent plan limits or usage restrictions

We reserve the right to suspend or terminate accounts that violate these terms.

8. Data Privacy and Security

We take the security of your data seriously. Our data practices include:

• Encryption of data in transit and at rest
• Multi-tenant data isolation — your organization's data is logically separated from other customers' data
• Regular security assessments and monitoring

9. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by PactBadger and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

All trademarks, logos, and service marks displayed on the Service are our property or the property of their respective owners.

10. Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when practicable.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT THE AI EXTRACTION RESULTS WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PACTBADGER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless PactBadger and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and associated data after a reasonable retention period
• Sections of these Terms that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will continue to apply

You may terminate your account at any time by contacting us or through your account settings.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service prior to the changes taking effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Indiana.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PactBadger regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
